The Securities and Exchange Board of India (SEBI) has brought a resolution to the much-watched Minimum Public Shareholding (MPS) norm violation case, clearing prominent figures Gautam Adani and Vinod Adani of the accusations. This decision comes after a thorough investigation into the shareholding patterns of several Adani Group entities.
SEBI, however, did not let everyone off the hook.
While the Adani family members were cleared, the market regulator imposed penalties of ₹20 lakh each on two individuals for providing misinformation during the probe. The case involved major Adani Group companies, including Adani Enterprises, Adani Power, Adani Ports and Special Economic Zone, and Adani Energy Solutions.
The investigation, which commenced on October 23, 2020, stemmed from complaints received in June and July 2020. These complaints alleged that shares held by two Foreign Portfolio Investors (FPIs) between 2013 and 2018 were, in essence, promoter holdings disguised as public shareholding. Such a practice would be a violation of MPS norms, which mandate a certain percentage of a company's shares to be held by the public.
A key finding by SEBI was the lack of sufficient evidence to establish that the Adani family effectively controlled these foreign investments. This conclusion played a pivotal role in clearing Gautam and Vinod Adani.
In a related development, the four Adani companies implicated in the case, along with 14 directors, collectively paid a sum of ₹1.48 crore to settle the matter.
This settlement brings closure to a complex and high-profile regulatory inquiry that had kept the market and investors on edge.
The resolution of this case is expected to bring more clarity and stability for the Adani Group's stock performance.
