The Indian Hotels Company Limited (IHCL), a prominent hospitality entity within the Tata Group, has officially announced its merger with Oriental Hotels Limited (OHL) through a comprehensive Scheme of Arrangement. This strategic move, an all-stock transaction, aims to consolidate assets and enhance the group's market position.
Under the proposed Scheme of Arrangement, a share exchange ratio has been established: OHL shareholders will receive 25 IHCL shares for every 117 OHL shares they hold. The ambitious merger is targeted for completion in the second half of fiscal year 2028, with an 'Appointed Date' set for April 1, 2027. Puneet Chhatwal, Managing Director & Chief Executive Officer of IHCL, emphasized the strategic importance of this merger.

In line with our Accelerate 2030 strategy of creating value, simplifying the group's holding structure and unlocking the full potential of OHL portfolio including iconic assets like Taj Coromandel, Chennai, Taj Fisherman's Cove Resort & Spa, Chennai and Taj Malabar Resort & Spa, Cochin, the Boards of IHCL and OHL have today (August 24, 2026) approved this merger.
” Mr. Chhatwal further elaborated that the merger is expected to drive significant long-term value creation.
By leveraging IHCL's robust balance sheet, the combined entity will be better positioned to support strategic investments, including expanding inventory and implementing product enhancements. This, in turn, will strengthen the premium positioning of the integrated portfolio in the competitive hospitality landscape. Oriental Hotels, an associate company of IHCL, currently boasts a portfolio of seven hotels, encompassing 825 rooms.
This impressive collection includes freehold assets such as Taj Coromandel and Taj Fisherman's Cove Resort & Spa, both located in Chennai, along with Gateway Coonoor.
Its long-tenure leasehold assets comprise Taj Malabar Resort & Spa in Cochin, Vivanta Coimbatore, Vivanta Mangalore, and Gateway Madurai.
Beyond its direct hotel ownership, OHL also holds investments in several other IHCL group hotel companies both within India and internationally.
