NSE approves an IPO via Offer for Sale after SEBI clearance, establishing a reconstituted IPO Committee to steer the listing and related preparations.
The National Stock Exchange of India (NSE) has taken a major step toward going public. Its board approved an initial public offering via an Offer for Sale by existing shareholders, with the listing to occur on one or more recognised Indian stock exchanges, subject to regulatory clearance and market conditions. As part of the move, the board reconstituted its IPO Committee to steer the listing process.
The committee will be chaired by Tablesh Pandey and includes public interest directors Srinivas Injeti, Prof Mamata Biswal, Abhilasha Kumari, and Prof Sivakumar, along with NSE Managing Director and CEO Ashish Chauhan. It will define listing procedures and set criteria for appointing merchant bankers and legal advisers tasked with drafting the Red Herring Prospectus (DRHP).
The IPO is expected to rank among the largest in India's capital markets, reflecting NSE's scale and dominance in domestic equity derivatives. NSE has about 1.77 lakh shareholders and is valued at over Rs 5 lakh crore in the grey market, according to analysts. The listing is watched as a landmark event given NSE's central role in market infrastructure.
While the OFS route lets existing shareholders sell stakes rather than issue new shares, the final listing will depend on regulatory approvals and market conditions. The process underscores India's evolving capital markets landscape as the country moves toward greater transparency and liquidity.
A note: The committee will oversee merchant bankers and legal advisers for the DRHP, shaping the path to public scrutiny and investor access. The timing remains contingent on regulatory greenlights and market appetite.
