Netflix Faces Consumer Lawsuit Over $72B Warner Bros Deal

A consumer lawsuit has been filed to block Netflix’s planned $72 billion acquisition of Warner Bros Discovery’s studio and streaming businesses, highlighting ongoing antitrust concerns in the fast-changing streaming landscape. The suit, brought by a Warner Bros-owned HBO Max subscriber, argues the deal would reduce competition in the U.S. subscription video-on-demand market and tilt the playing field toward Netflix.

Netflix contends the case is meritless and an attempt by plaintiffs’ lawyers to capitalize on the deal’s publicity. The company emphasized that it remains confident in the merits of the transaction and its potential to deliver value to shareholders and viewers alike.

The alleged impact centers on Warner Bros’ marquee franchises, including Harry Potter, DC Comics characters, and Game of Thrones. Critics argue that absorbing these assets could lessen alternative sources of content and raise barriers for rivals trying to compete for subscribers.

The negotiations come as Paramount Skydance on the same day launched a hostile bid worth about $108.4 billion for Warner Bros Discovery, a move that adds another layer of complexity to the competitive dynamics in Hollywood. Warner Bros Discovery’s board has said it would review the competing offer.

U.S. federal antitrust law allows consumers to sue over mergers and acquisitions in addition to actions brought by regulatory agencies, though such lawsuits face high legal hurdles. The lawsuit’s counsel Bathaee Dunne, known for pursuing other antitrust actions, did not offer comments when contacted. The case underscores how the market for premium content and platform access remains a flashpoint for regulators, lawmakers, and shareholders alike.
